The following Terms & Conditions, Privacy Policy and Refund Policy apply to provision of services to All Music Business Advice (hereafter referred to as “AMBA”) members and casual clients, defined as being a person who completes an order and pays for it to accept the sale terms and conditions, and herein referred to as the “Client”.

AGREEMENT SCOPE AND TERM

1) This agreement commences from the financial time stamp of the first order between AMBA and Client is processed and required fees are paid, yet AMBA is only required to act on its obligations when funds paid by the Client are cleared and received by AMBA. The agreement ceases when membership expires in regard to any further obligations of AMBA under the agreement in regard to membership, yet this will not effect works in progress that will be completed regardless of membership status and subject to the terms and conditions herein.

2) Provisions relating to confidentiality survive this agreement. No current or former Client will disclose confidential information on AMBA operations to a third party it learns of from it’s prior status as a Client. Such information, (including but not limited to systems and methods used in AMBA business operations), is regarded as business intelligence forming intellectual property, owned by AMBA. Action will be taken in necessary to contain any infringement of any intellectual property rights owned by AMBA.

MEMBERSHIP CONDITIONS & REFUND POLICY

3) AMBA will ONLY consider member fee refund on declined memberships. Member fees pay the administrative cost to immediately process the application and is not refundable.

4) AMBA will refund Project Fees if membership is declined. Refund amount will be the same as was received by AMBA for Project Fees, less any pay or refund transaction related bank fees.

5) There is no requirement for AMBA to disclose why any membership is declined if it is.

6) While no requirement to submit music, membership is conditional that any Works Client is involved with are not of an indecent standard or depraved moral view that may bring AMBA’s name into disrespect by association with the Artist name or Works. By example indecent standards include an element in Works that is hateful, obscene, misogynistic, sexually inappropriate, excessively violent or promotes violence of any kind, attack or belittle or insult or vilify minorities or stereotypes, is racist, is offensive in any significant way, is libelous or in any way determined as inconsistent with the principals of do no harm held by AMBA. Any decision as to if Client Works breach this condition of decency to render membership invalid, is at the sole discretion of AMBA and it is not required to detail the reasons for any such decision yet may elect to do so on a case by case basis.

7) AMBA consultants will at all times act in a courteous and professional manner in it’s work output and relationships with Clients. The same is expected of Clients, and any abusive behaviour will result in immediate membership termination without refund.

OTHER TERMS OF USE AND ADVICE

8) Client agrees acknowledges and understands AMBA can not provide legal or accounting advice. AMBA may provide a general overview and information of matters relating to Copyright and Trademarks and Contracts. AMBA will only provide referrals for Clients to qualified legal and accounting professionals who specialise in servicing music industry clients where a client requests a legal opinion. AMBA does not provide legal opinions of any kind and is not qualified to do so. As such, any advice provided to client is of a general nature and is not be relied on.

9) Client agrees acknowledges and understands AMBA can only provide it’s best opinion on matters about which Client is seeking advice,and this is based on the facts provided. Client must not solely rely on information provided by AMBA and must make it’s own investigations to verify and confirm any information provided to it by AMBA or from sources AMBA has referred the Client to.

10) NO WARRANTY OR IMPLIED WARRANTY EXISTS IN INFORMATION AND ADVICE PROVIDED TO CLIENT.

11) AMBA DOES NOT ACCEPT ANY LIABILITY FOR ANY MATTERS OR EVENTS RELATED TO INFORMATION PROVIDED BY AMBA TO CLIENT.

12) This agreement can change at any time for whatever reason and and such change will become affective from that date going forward. While there is no obligation or requirement for AMBA to notify Client of any such changes, it may be that AMBA does so after certain changes such as those for example but not limited to changes in the law that may require changes to terms and conditions and notification of client.

15) Client agrees that by using AMBA Services and Site, it has agreed to all terms and conditions including Refund Policy and this Privacy Policy, and has reviewed and read them.
